These Terms of Service (“Terms”) govern your use of the Codezion Invoice website and related services (collectively, the “Services”) provided by Codezion Softwares (“Codezion”, “we”, “us” or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

1. Definitions

  • “Codezion Invoice” means the invoicing platform accessible at https://codezioninvoice.com.
  • “Customer” means any individual or entity that registers for or uses the Services.
  • “Services” means Codezion Invoice’s billing, invoicing, payment processing, and reporting services.

2. Acceptance of Terms

By registering for or using the Services, you affirm that you have read, understood, and agree to these Terms and any additional policies referenced herein. If you do not agree, you must immediately cease using the Services.

3. Services

Codezion Invoice provides Customers with tools to:

  • Create, send, and manage professional invoices
  • Accept and track payments
  • Generate financial reports and analytics
  • Integrate with third-party accounting and payment gateways

4. Plans & Fees

We offer a Generous Free Plan and tiered Premium Plans that scale with your business needs.
Details of current plans and pricing are published on our website.
All fees are billed in advance, based on the plan you select, number of invoices issued, and transactions processed.

5. Payment Methods

Customers must pay all fees in advance of receiving Services. We accept major credit cards, debit cards, and supported online payment methods.

6. Term; Suspension & Termination

Term.

These Terms remain in effect until terminated by either party.

Suspension.

We may suspend or limit your access if you violate these Terms or for non-payment.

Termination.

Either party may terminate by providing written notice. Upon termination, your access to the Services ends and any unpaid fees remain due.

7. Customer Responsibilities

  • Provide accurate and up-to-date information when registering.
  • Maintain the confidentiality of login credentials.
  • Comply with all applicable laws in connection with your use of the Services.

8. Indemnification

You agree to indemnify, defend, and hold harmless Codezion and its affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or any breach of these Terms.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. CODEZION DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CODEZION DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

IN NO EVENT WILL CODEZION BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CODEZION’S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO CODEZION IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the courts located in the UAE.

12. Entire Agreement

These Terms and any policies or documents referenced herein constitute the entire agreement between you and Codezion with respect to the Services, superseding any prior agreements.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will remain in full force and effect.

14. Waiver

No waiver of any provision of these Terms will be effective unless in writing and signed by both parties. Failure to enforce any right or provision will not constitute a waiver of that right.

15. Headings

Section headings are for convenience only and have no legal or contractual effect.

16. Counterparts

These Terms may be executed in one or more counterparts, each of which is deemed an original, but all of which together constitute one and the same instrument.

17. Successors & Assigns

These Terms are binding upon and will inure to the benefit of the parties and their respective successors and permitted assigns.
